SGS is looking for high calibre candidate for our Assistant Manager (Legal). This role would be responsible for providing legal advice to the business on a variety
of legal matters in compliance with laws and regulatory requirements. It provides company secretarial support in order to meet the standard on Corporate and other statutory requirements. The incumbent will also be responsible for documenting the Business Continuity
Plan/projects locally.
The main responsibilities would be as follows:
Legal Matter
- Review all Service Agreement/NDA/Consultancy Agreement/Sub-contracting Agreement prepared by/for SGS Clients, Suppliers, Vendors, Consultant and Sub-contractors. Give comment and advice to Business Units (BU) and Corporate Function (CF) in legal perspective on the Terms and Conditions (T&C) to safeguard the interests of the Company
- Coordinate for Global Service Agreement escalated further to SGS Group Legal Counsel of respective Business Lines for review and comment prior execution locally
- Review T&C for all tender document prior to submission by BU
- Give legal advice to BU and CF in relation to enquires on the use of company logo, trademark and Intellectual Property alike
- Draft warning letter to the party should there be finding on unauthorized use of company logo, trademark and Intellectual Property without prior consent from SGS; or escalate the case to Global Legal / Corporate Security
- Be the contact point for internal and external to seek professional legal opinion/advice from local lawyer on general enquiry in relation to business matter
- Follow and coordinate all business claims/lawsuit lodged against or raised by the Company. Advise BU to file the claim to IAS in accordance to the global guidelines on Claims Management
- Liaise and work closely with local attorney and Group Legal Counsel (if necessary) for any claim/lawsuit case proceedings
- Assist Quality Assurance (QA) and Corporate Logistics Administration (CLA) departments in handling enquiry in relation to the authentication of report/certificate upon verification by BU
- Assist to advise/develop/formulate local policies/guidelines on legal related matters
- Keep record of legal document in accordance with the local arrangement
- Serve as one of the two representatives of the Macau Branch Office
- Sign document, including but not limit to tender and agreement, jointly with the other representative.
- Travel occasionally to Macau.
Business Continuity Plan (BCP)
- Act as Business Continuity Team Coordinator who coordinates the BCP event and meetings, in-charge of the BC Team, develop and update the BCP documentation
- Act as a member of the Crisis Management Team (CMT) which effectively implement the BCP under the direction of Hong Kong Managing Director and Director of Corporate Governance & HSE for NEA Region
- Issue of local Emergency Response Plan (ERP) based on Global or Regional ERP
- Provide company and financial related information upon request of BU for tender submission and supplier/contractor/consultant application purposes
- Coordinate and consolidate input from different CFs in compilation of the information for BU
- Prepare board resolution and related document
- Coordinate and serve as Secretary for the Annual General Meeting and Board of Directors Meeting for the affiliates
- Set up and register new company by working with affiliate or engaging corporate service provider
- Deregister company with support from corporate service provider if required
- Keep record in accordance with the local arrangement
Requirements:
- Bachelor’s degree in law, finance, business management or a related field
- 3 – 5 years’ proven experience in a legal compliance and contract review role
- Good knowledge of legal and company secretary requirements and procedures
- Knowledge and experience on Business Continuity Plan (BCP) is an added advantage
- Brilliant oral and written communication skills in both English and Chinese (Cantonese and Mandarin a plus)
- Highly analytical with strong attention to detail
- Good interpersonal skill with different level of staff
