The Associate Corporate Counsel for the Materials and Structural Analysis Division (MSD) will assist the business in negotiating and drafting commercial and strategic contracts (including terms and conditions of product sales and services, collaboration, distribution, license, development, consulting, government, sourcing, and OEM agreements). Associate Corporate Counsel will also assist with compliance matters and provide advice, as well as training, on a range of matters, including commercial contracts, government contracts, anti-corruption laws, marketing and promotions, dispute resolution, products liability, and commercial antitrust. Associate Corporate Counsel will also periodically assist with legal matters or special projects with other divisions/corporate.
 

Key Responsibilities:

  • Responsible for providing ongoing advice and support principally related to a wide variety of commercial and strategic agreements, including the drafting, review, and negotiation of commercial sales and supply contracts, development agreements, and collaboration agreements
  • Provide leadership and legal advice on a range of legal and compliance matters, including government contracts, data privacy, antitrust, marketing and promotions, global trade compliance, and anti-corruption
  • Conduct legal research, as needed
  • Lead, anticipate, and drive solutions for a range of legal and business issues
  • Provide advice regarding customer and other commercial/business disputes
  • Monitor contract review compliance
  • Review, develop, implement, communicate, and enforce policies and procedures
  • Implement, use and manage contract management tools and other technology adopted by the Legal Department and train clients as appropriate
  • Draft and improve contract templates, training materials and department website content
  • Provide support for strategic corporate transactions

Minimum Requirements/Qualifications:

  • Bachelor's degree and Juris Doctor from accredited university
  • 5+ years of direct experience with business law and commercial and commercial contracts, including 3+ years of relevant legal experience in a law firm or in-house legal department and business law background
  • Member in good standing with the state Bar
  • Experience managing global contract negotiations engaging directly with customers and suppliers
  • Strong analytical ability
  • Strong interpersonal skills
  • Proven ability to develop process-driven solutions
  • Experience developing and implementing legal solutions
  • Ability to analyze and interpret complex legislation, laws, and regulations and assist in compliance efforts
  • Excellent verbal and written communication and problem-solving skills
  • Ability to maintain strict confidentiality of sensitive information
  • Ability to operate within a matrixed management environment
  • Team player capable of leading and participating within cross-functional project teams to meet key milestones under tight timelines and stressful conditions
  • Strong project and process management capabilities, with the ability to manage multiple projects and transactions
  • Effective verbal and written communication and presentation skills sufficient to effectively communicate with diverse audiences, including outside attorneys, senior management and business associates
  • Ability to explain complex legal issues to non-lawyers and deliver business-centric advice and solutions
  • Sound judgment and commitment to ethical conduct
  • Strong work ethic with the initiative to work independently
