Working directly for a highly regarded and high profile Partner who heads up the practice, this is an excellent opportunity to take on further responsibility and autonomy with expert guidance and coaching.
The Funds and Investment Management practice is a well-established group headed by a highly regarded and very experienced Partner. Representing a broad range of Hong Kong based firms, large Chinese financial institutions and International clients that include hedge funds, private equity funds, real estate funds and institutional investors. This highly ranked practice is recognised for its broad based practice, business acumen, and highly commercial approach. As an example of our quality, the practice is ranked by IFLR1000 as Band 1 for real estate funds.
MAIN DUTIES AND RESPONSIBILITIES:
- Providing advice on the structuring and establishment of the full range of fund types including PE funds, hedge funds, real estate funds, fund of funds, co-investment structures
- Preparation and negotiation of fund documents including term sheets, limited partnership agreements, offering documents, management agreements, separate accounts, prime broker documentation
- Regulatory advice on Hong Kong SFO matters including licensing, and international fund raising regulations such as Investment Advisers Act, Dodd-Frank, AIFMD
- For more senior applicants, a willingness to supervise more junior staff and to contribute to the practice's business development activities. Very strong career progression opportunity working closely with the head of the practice.
SKILLS AND ATTRIBUTES:
- Excellent written and verbal English; Mandarin and/or Cantonese highly desired but not necessarily mandatory for the right candidate
- We are open to considering candidates who have some experience, such as 3 PQE plus through to a senior level counsel position
- Experience of fund formation (we are flexible about the experience gained of different types of funds) or combined fund formation and private equity deal experience
- Strong drafting skills
- Excellent attention to detail with document preparation
- Understanding of Hong Kong or US regulation of managers is desirable but not mandatory
- Exposure or interest in gaining exposure to business development activities
