Position description: Microsoft’s Corporate, External, & Legal Affairs (CELA) has an immediate opening for a dynamic, motivated, and experienced attorney to join the U.S. Health & Life Sciences Legal Team. The successful candidate will primarily support Microsoft’s U.S. Health commercial business on cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service), traditional software licensing, and consulting services transactions and function as a contributing member of the global CELA group.
Ideally, this position will be located in Chicago IL, Minneapolis MN, or Washington D.C. Other locations may be considered for the right candidate.
Responsibilities
Key responsibilities
Transactional and Digital Transformation Support:
- Draft, negotiate, and advise business clients on complex cloud computing, strategic health collaboration, AI and ML, IoT, software licensing, consulting services, and other deals with major health organizations across the U.S. with a special focus on health provider, plan, pharmaceutical, medical device, and med tech.
- Partner with the U.S. Health sales team on complex, high-value transactions to identify blocking issues, helping create deal strategy & tactics, as well as driving best-in-class negotiations throughout commercial lifecycle.
- Engage with Microsoft Legal colleagues in regional commercial, corporate commercial and products and services groups to identify and share best practices, develop model standard agreements and clauses, and contribute to the broader Microsoft CELA community.
- Coordinate with external counsel on commercial deals and strategic transactions.
Digital Health Strategy Development:
- Act as legal executive sponsor for Microsoft's strategic Health accounts in the U.S. to build relationships with key stakeholders.
- Strategic outreach and partnership with key health ecosystem stakeholders, including health regulators and industry associations, on issues pertaining to technology and the health industry.
- Provide strategic advice on newly emerging digital health models including Internet of Digital Transformation, Medical Things (IoMT), health AI, and Machine Learning.
- Provide advice and guidance on rapidly evolving health-specific regulatory issues impacting Microsoft products and services.
Qualifications
Minimum Qualifications
- Law degree (JD, LLB or equivalent) from accredited U.S. law school with excellent academic credentials.
- Admission to the state bar of at least one U.S. state in good standing.
- Minimum 5 years of experience as a transactional lawyer in-house and/or at a law firm with experience in cloud computing, software hosting, systems integration, or other complex services engagements, especially those involving software and other intellectual property.
- Outstanding analytical ability and legal drafting skill and negotiation skills regarding a broad variety of agreements.
- Excellent oral and written communication skills in English.
- Working knowledge of Microsoft Outlook, Word, and PowerPoint.
Ideal experience
- Approximately 1-2 years of relevant experience in-house at a major health, life science, or pharmaceutical company.
- Strong experience in negotiating information technology agreements with, or on behalf of, healthcare organizations, health plans, biotech, medical device industry, pharmaceutical, life sciences, and/or large enterprise commercial entities.
- Strong experience advising product development, sales, IT, and/or procurement on regulations applicable to healthcare, life science, or pharmaceutical operations.
- Deep experience providing thought leadership and pragmatic advice on HIPAA and/or life science compliance, training, and operations.
- Experience with health regulator and industry association outreach on issues pertaining to technology and the healthcare industry.
- Experience advising on health privacy issues and global data protection laws, intellectual property, and IT services.
- Experience advising on cloud security issues and with regulatory or security standards and frameworks (e.g. NIST, HITRUST, SOC2, ISO).
