Job Description

We have an immediate opening for a dynamic, highly motivated and experienced National Security attorney to join our U.S. Field Corporate, External and Legal Affairs (CELA) team in the Global Sales, Marketing and Operations Group.  This attorney will primarily support Microsoft’s U.S. Public Sector Sales and Services organization in legal, policy, and regulatory issues arising from the software, cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service), devices, and professional services (product support and consulting) businesses. 

 

This individual will be responsible for providing comprehensive legal guidance to the business across our intelligent cloud, operating system and business processes (including Azure, Office 365, Dynamics 365, Windows, data security & artificial intelligence). Our customers are in the midst of game-changing digital transformations and this Attorney will have frequent contact with all levels of Microsoft executives, technical experts, outside partners, customers and vendors as well as our regional and global CELA teams. Experience with data and national security/defense legal issues is required. Experience with public procurement is desired.

 

Responsibilities

The responsibilities of this position will primarily include:

 

(1) Providing legal advice and counsel on national security, governance, and compliance issues arising from engagements involving classified matters and similar engagements involving the Intelligence Community, Department of Defense and related organizations; 

(2) Providing strategic advice and guidance on rapidly changing privacy, cybersecurity, national security, homeland security, technology policy, government procurement and other regulatory and policy issues impacting the sale of Microsoft products and the delivery of services to government customers;

(3) Providing legal and strategy advice on national security matters involving emerging technologies such as artificial intelligence (including machine learning and cognitive services), quantum computing, augmented reality, and other similar technologies;

(4) Providing national security input into the drafting, negotiating and advice to business clients relative to software licensing, government data rights, consulting services, product support, teaming, non-disclosure, and other agreements with customers and partners related to complex cloud computing, devices and professional services agreements with the U.S. Government; and
(5) Providing other necessary general legal advice and counsel to business clients primarily in the areas of intellectual property law, anti-piracy, ethics and compliance, employment law, industrial security, privacy law, dispute resolution and corporate citizenship.

Qualifications

Candidates should have the following minimum qualifications:

 

(1) J.D. from an ABA accredited law school with excellent academic credentials and admission to the state bar of at least one U.S. state;
(2) 7-10+ years of experience as a national security attorney with experience in legal and policy matters involving the US Intelligence Community, Defense Department and other national security organizations.

(3) Knowledge of and practical experience with FAR, DFARS, commercial item procurement, Other Transaction Authority, cybersecurity, ITAR, EAR, Trade Agreements Act, small business set asides and small business subcontracting, and other unique US Government requirements.;

(4) Strong analytical and drafting skills;

(5) Security clearance at Top Secret/SCI with full-scope polygraph (or demonstrate ability to hold a clearance at this level);
(6) Demonstrated ability to work efficiently, meet demanding deadlines and balance multiple tasks in a fast-paced environment with minimal supervision;
(7) Excellent oral and written communication skills;
(8) Working knowledge of Microsoft Outlook, Office, Word, Teams, and PowerPoint; and
(9) Ability to work independently and partner effectively in a team environment.
