Job Description

KEY ROLES & RESPONSIBILITIES

  • Performing all company secretarial, paralegal and administrative related work and responsibilities.
  • Working closely on a day-to-day basis with and directly report to Director, Assistant Company Secretary, Legal.
  • Supporting the day-to-day operation of the legal department in Hong Kong, Macau, Philippines, Cyprus etc including providing all support required by lawyers and other members of the legal department and working closely as a team with other team members.
  • Assuming responsibilities for corporate governance matters as may be allocated from time to time.
  • Assisting with filing of and complying with all related US Nasdaq, NYSE, SGX, SEC rules and Philippines listing rules and etc.
  • Performing a full range of company secretarial duties for all subsidiary and affiliated companies.
  • Liaising and working closely with other departments, with respect to information and document flow for audit, compliance and other purposes.
  • Assisting in the execution of transactions in a timely manner.
  • Maintaining statutory records, organisation charts and filing system for all subsidiary and affiliated companies.
  • Preparing and arranging for filing of annual returns, forms and documents with the Hong Kong Companies Registry, Inland Revenue Department and any other authorities in and outside of Hong Kong.
  • Liaising with external regulators, advisers and agents, such as offshore agents and lawyers.
  • Liaising with legal counsel to manage and administer the execution of documents, resolutions and minutes for all subsidiaries and affiliated companies.
  • Organising board and board committee meetings, liaising with Chairman’s office for board meetings, preparing board packs, coordinating board papers and committee papers preparation and distribution, and providing support during board meetings as required.
  • Maintaining security, safety and confidentiality of original agreements, board papers, other confidential company documents and legal records.
  • Handling Adhoc Legal Projects

 

REQUIREMENTS & QUALIFICATIONS  

  • Degree holder in company secretarial studies or related discipline
  • Minimum 7 years’ relevant experience
  • Excellent command of written and spoken English is a must
  • Good communication, interpersonal skills and ability to deal with directors and senior executives professionally
  • Good organisational, analytical and problem solving skills and able to work independently and under pressure
  • Ability to work under time pressure is a must and capable of handling multiple priorities simultaneously
  • Willing to work over time
  • Ability to focus and work on complex details and generate accurate documents
