Working for the Chinese affiliate of one of the world’s leading manufacturers of subsea equipment, you will be responsible for providing commercial and contractual support to the sales, marketing and procurement teams of SMD Shanghai, with guidance and supervision from the group’s UK Commercial team. /供职于世界领先的水下设备制造商之一的中国分公司，您将在集团英国商务团队的指导和监督下，为上海SMD的销售、营销和采购团队提供商务和合同支持。

Roles and Responsibilities/岗位职责

The duties and responsibilities associated with this position include, but are not limited to:/本职位职责包括但不限于以下内容：

§ Commercial evaluation of proposals and tenders with the aim of securing lowest risk and best price contracts;/ 对建议书与招投标进行商业评估，旨在降低风险并争取合同价格最优。

§ Draft, review and negotiate the terms and conditions of sale contracts, supply contracts, non-disclosure agreements and other legal agreements in line with prescribed company procedures;/ 根据公司流程规定，起草、审核、磋商销售合同、采购合同、保密协议相关条款，以及其他的法律文件。

§ Ensure contracts and commercial interactions always adhere to the SMD group’s commercial governance mandate, providing for consistent and robust contracting practices across the group;/为整个团队提供稳定持续的合同行为惯例，确保合同、商务活动始终遵守SMD上海公司的经济业务授权管理规定，

§ Arrange and participate in the project handover of awarded contracts from the sales to projects teams, including presentation of commercial risks and key points from contract terms and conditions;/参与、安排关于已签订合同市场部与项目团队之间的交接，包括陈述合同条款条件中的风险点和关键点。

§ Maintain up to date knowledge and awareness of Chinese contract law and legal developments that could affect SMD Shanghai, and provide advice on such matters to the company and the UK Commercial team;/持续跟新中国合同法和可能影响SMD上海公司的最新法律法规，并为上海公司及UK团队的相关事宜提供建议

§ Provide day to day commercial support to SMD Shanghai’s marketing, sales and procurement teams;/为SMD上海公司销售市场和采购团队提供日常商务支持。

§ Administer SMD Shanghai’s contract files and legal agreements;/负责SMD上海公司合同文件和法律协议管理。

§ Report regularly into the UK Commercial team./定期向UK商务团队汇报。

Key Qualifications and Skills/任职资格

§ Bachelor degree (or equivalent) or above, preferably in Law, Business Law or a related field. /本科及以上学历，法律、商法或相关专业***。

§ 2 or more years’ experience working in a legal or commercial role (preferably in the subsea or marine industry) with specific experience of drafting and negotiating contractual terms and conditions;/2年以上法律或商务岗位工作经理，具备起草、磋商合同条款具体的工作经验（有海工行业背景***）

§ Sound understanding of both English and Chinese contract law;/对中英合同法具有良好的理解

§ Strong negotiation and analytical skills with attention to detail;/较强的商务谈判能力和分析能力，注重细节

§ Excellent verbal and written communication skills. Complete fluency in both written and spoken English and Chinese is essential;/必须具备优秀的口语和书面沟通能力，出色的中英双语书面和口语表达能力
