Job Description
Background
The Greater China General Counsel’s office (GCO) is looking for a junior to mid-level Legal Counsel to join the Hong Kong team to fulfil a contracts management role. The successful candidate will work independently within the business as well as other members of the GCO on a broad range of contractual matters and will also be expected to assist in corporate in-house work, including (but not limited to) mergers and acquisitions and employment issues. Good exposure to cross border issues and working with legal counsel from other EY member firms.
Responsibilities
- Help manage and review engagement contracts and other commercial agreements, including Managed Services contracts, IT Implementation agreements, Master Service Agreements, Local Country/ Jurisdiction Agreement and tender documents.
- Provide timely and pro-active legal advice on a range of commercial issues, including data privacy, intellectual property, and IT licensing.
- Assist with giving advice to service lines on legal and regulatory risks associated with the provision of professional services.
- Provide support on corporate transactions, mergers and acquisitions.
- Assist with the preparation of employment related documents such as hiring or separation.
- Provide legal training to other departments as and when required.
- Assistance on company secretarial matters.
To qualify, you must meet the following requirements:
- University law degree and admitted to practice as a lawyer in Hong Kong.
- Experience in reputable law firms in Hong Kong or in-house department of sizable company.
- 4 to 7 years of post-qualification legal experience.
- Solid commercial/corporate experience with strong drafting skills.
- Strong commercial awareness, understanding of services, corporate governance and regulatory issues.
- Fluency in both English and Chinese (including Mandarin).
- Flexible team player, strategic thinker, solutions-oriented problem solver.
