Job Description

Mellon is hiring a Corporate Governance and Proxy Voting Manager who will partner closely with the Mellon Head of Index, Mellon ESG Council and the BNYM Proxy Voting Governance Research team on proxy research and voting, stewardship engagement, and ESG topics. The role will be in a dynamic front office environment and will involve regular contact with portfolio managers, proxy committee, and ESG Council members. The role will also have an opportunity to engage with representatives of the companies in which we invest. The Proxy Vpoting Manager will be the Secretary of the Mellon Proxy Voting Committee (the ‘Committee’) and a member of the Mellon ESG Council. Primary Responsibilities: Independently, conducts, coordinates and analyzes advanced market intelligence for internal stakeholders with respect to Mellon’s proxy voting processes and governance. Conducts advanced analysis and reports results, often to senior audiences. Liaises with client-facing staff in various areas of the Bank. Collaborates with management to establish research/analytical methodologies for the proxy analysis and voting function. Research often supports new business development (through RFP) and retention of existing revenue streams across the assigned business segment. Maintains knowledge of competitor global service offerings and provides recommendations on how to improve Mellon's competitiveness / value add through proxy stewardship. Liaison and advisor to assigned business areas, providing expertise on market environment and helping to develop strategies. Works with large datasets and data structures for purposes of statistical and trend analysis and the creation of executive presentations. Leverages internal and external databases, public websites, and news outlets for purposes of data analysis, and aggregation. Manages research projects of moderate scope and coordinates findings into presentations for senior leaders. Primary subject matter expert for Mellon proxy voting and governance; responsible for reading through and understanding proxy ballots that are brought to Committee for vote; identification of votes for each meeting; coordination with Committee members, and official recording of votes. Serve as Proxy Voting Committee Secretary with responsibility to lead and organize regular Committee meetings, maintain charter and records, and manage all committee related processes In collaboration with the central BNYM Proxy Voting Governance Research Team, manage and maintain proxy voting and review processes to ensure proxies are voted in accordance with policies established by Committee and that diverse and robust views are considered. Engage with investment professionals and ESG research specialist on an outreach basis for feedback on specific issuers as needed to help inform voting decisions. Engage in meetings and interviews with management of select issuers. Build key working relationships across internal. Contribute to the review and development of proxy voting guidelines and best-practices; interact with Legal and Compliance as required for proxy audits. Assist in the development of proprietary data analytics and proxy measurement; monitor and report proxy voting trends with particular attention to ESG issues. Additional Responsibilities: During low volumes, project manage and oversee diverse projects in support of Mellon strategic priorities. Qualifications Qualifications Bachelor’s degree in marketing, business, mathematics/statistics or the equivalent combination of education and experience is required. 7-10 years of total work experience preferred, market intelligence and analysis experience preferred. Applicable local/regional licenses or certifications as required by the business. Skills Previous experience with proxy voting and research, corporate governance, and corporate engagement; Familiarity with equity research Has an in-depth understanding of available data sources and can appropriately leverage internal and external systems, data and systems.
