Position Summary:

Bentley Systems is seeking a Corporate Specialist to join our global legal team. As a key member of the corporate legal group, the role will focus on matters including supply-side contract negotiations and support of M&A opportunities and acquisition integration. The Corporate Specialist will be located at Bentley’s headquarters in Exton, Pennsylvania and report directly to the Deputy General Counsel leading Bentley’s corporate legal group.

 

Day-to-Day Responsibilities:

  • Review, draft, edit, and negotiate vendor agreements, including information technology contracts, with suppliers assuring that the terms align with key business points, Bentley’s risk tolerance, and internal policies.
  • Review and negotiate NDAs, lease agreements, commercial contracts and other ordinary course business contracts
  • Support legal department and business leaders in merger and acquisition activity, including due diligence reviews
  • Serve as legal department’s internal point of contact for acquisition integration management, including reviewing, editing and harmonizing acquisition targets’ commercial terms with our own
  • Serve as a key point of contact for internal Bentley clients (e.g., account managers, business development colleagues);
  • Coordinate with internal and external counsel as appropriate and required.

 

What You Bring To The Team:

  • JD or Bachelor’s degree with excellent academic credentials
  • At least 4 years in-house experience in legal operations, sales operations or contract administration
  • Strong interpersonal skills, with a friendly, outgoing, and flexible manner
  • Experience in a dynamic high-performing environment requiring a high level of responsiveness
  • Attention to detail, proactive, and communicative – you know when to escalate
  • Ability to expertly handle multiple tasks simultaneously
  • Excellent business judgment
  • Comfortable reviewing and drafting legal documents to identify areas of concern
  • Requires sitting or standing at will while performing work on a computer. The role requires communication with managers, peers, and other colleagues of the company in person (on occasion), and by utilizing Microsoft Teams chat, calling and meeting functions.
  • This role requires infrequent travel to a Bentley office location post COVID.
