Job Description

Corporate Paralegal (12-month contract)

Based at the Toronto NCA Corporate Office, this position reports to the Senior Vice President, General Counsel, North & Central America, providing support in the management of corporate entities in the North & Central America Region.

What you will be doing:

  • Maintenance and updating of corporate minute books, annual resolutions and filings, as well as list of authorized signatories for all legal entities
  • Manage state, extra-provincial and liquor/health permit filings and perform other duties such as incorporations and organizations, amendments, amalgamations, continuances, revivals, dissolutions and extra-provincial registrations
  • Drafting powers of attorney, resolutions or other documentation as may be required to support transactions. 
  • Organize subsidiary board meetings including preparation of notices, agendas and all meeting materials; attend subsidiary board meetings and record, prepare, circulate and finalize meeting minutes
  • Diarize key dates in legal and compliance calendars
  • Maintain corporate organizational and owner-operator-employer charts
  • Maintain minute book, corporate seal, liquor license, business names and windup lists
  • Maintain online secretarial system
  • Responding to inquiries and communicating and interacting with internal and external contacts
  • Maintaining confidentiality of all matters occurring in the Law Department
  • Perform other duties as assigned

Your experience and skills include:

  • Bachelor’s or equivalent 5 years paralegal / law clerk experience with demonstrated knowledge of paralegal concepts, procedures and practices
  • Member of the Institute of Law Clerks of Ontario
  • Excellent verbal and written communication skills, interpersonal skills, and the ability to interact across all levels of the organization
  • Must be a self-starter and have the ability to work proficiently with limited supervision and a flexible schedule
  • Strong organizational, analytical and multi-tasking abilities
  • Ability to manage time effectively to work in a high volume/tight deadline environment with shifting priorities
  • Attention to detail is essential
  • Proficient with MS Word, Excel, Outlook and standard office technology and equipment
  • Previous experience supporting in an in-house environment (preferred)

  • Based at the North & Central America Regional Office in Toronto, Ontario, this position is part of the NCA Law Department.
