Corporate Paralegal

 

Position Summary:

Bentley Systems is seeking a Corporate Paralegal to join the global Legal department reporting to Bentley’s Deputy General Counsel.

 

Your Day-to-Day:

• Preparing and maintaining accurate corporate books, records and related documents
• Drafting routine corporate secretary documents for entities including annual reports and other filings
• Provide contract support for standard corporate agreements, such as non-disclosure agreements
• Maintaining subsidiary database and monitoring ongoing filing and other requirements
• Assisting with SEC filings and current reporting obligations as needed
• Assisting with transactional due diligence for both M&A and corporate financings
• Managing and overseeing billing and invoices from outside counsel and other service providers
• Provide administrative support for board and stockholder meetings
• Work with other members of the legal team on special projects and initiatives

 

What You Bring to The Team:

• Bachelor's degree from a four-year colleage or university with a focus on legal studies or relevant experience required
• 4+ years related experience and/or training working as a corporate paralegal
• Experience with web-based Board portal and subsidiary management software
• Paralegal certification preferred
• Familiarity with Delaware corporate law and Nasdaq and SEC rules and regulations a plus
