Create a better tomorrow with Siemens! We are seeking to add a COUNSEL – COMMERCIAL LAW to our strategic team. This position can be remote with the expectation that travel to the relevant business headquarter office will be required on an as needed basis. RESPONSIBILITIES AND POSITION DESCRIPTION: This is a key, high level position within the Siemens Corporation Legal Department that will provide support to the Smart Infrastructure operations on all legal matters arising in its American operations. This is an individual contributor role and will involve the following: o Ability to work closely with management and contribute to the success of the business by providing practical legal and business advice. o Work closely with contracts professionals and provide legal advice and approvals where required during contract negotiations. o Perform substantial drafting and negotiation of contracts with customers, vendors and business partners. o Contract review and advice on applicable laws and risk mitigation strategies. o Coordination of legal advice with global legal colleagues. o Analyze, manage and resolve diverse matters with government agencies and commercial customers. o Review and provide legal advice relating to high profile contracts/subcontracts, bids, equipment/service agreements, sales transactions, project implementation issues and general corporate matters. o Assisting clients and stakeholders to avoid liability claims and working closely with outside counsel to successfully resolve claims and litigation when it arises. o Develop risk mitigation and settlement strategies and negotiate and finalize settlement agreements where necessary with special emphasis on products liability matters. o Develop and provide legal training to organization, and work with corporate executives to ensure adherence to corporate policies. EDUCATION AND CERTIFICATIONS: o JD from a U.S. accredited institution and must be in good standing and licensed to practice law in one or more states. REQUIRED SKILLS AND COMPETENCIES: o Five plus years of legal experience in a transactional environment in a law firm or corporate in-house position. o Demonstrated track record in commercial transactions and claims management. o Demonstrated drafting and negotiation experience. o Well developed communications skills; able to clearly and concisely express technical legal advice (or data) to non-technical business partners and management. o Self-driven and resourceful to achieve goals independently as well as work well in groups. o Flexibility to adjust and thrive in an environment with changing requirements, schedules and priorities for multiple projects or assignments. o The ability to socialize ideas, make recommendations and gather team consensus to advance issues. o Enthusiasm to learn new things and be a champion of change. o Excellent writing skills. o Effective presentation skills. o Exude professionalism during face-to-face customer, vendor and business partner meetings. o Ability and willingness for potential of domestic and international business travel. DESIRED SKILLS AND COMPETENCIES: o Experience with equipment sales contracts, service contracts and software licensing. o Understanding of Software as a Service (SaaS) subscription-based business model and cloud infrastructure transactions. o Familiarity with asset based lending transactions. o Knowledge of legal issues in the manufacturing, industrial and software industries.
