Eaton’s Electrical Sector Division is looking to hire a Cyber Security Attorney to join our team in Cleveland OH. Relocation assistance will be provided if needed. Position Overview: Proactively draft and negotiate complex IP and technology transactions, including licensing agreements, including software licensing, technology development, e-commerce agreements, service agreements and technology transfer agreements. Drive the drafting, review, analysis, negotiation, and execution strategy of a variety of agreements related to technology, including working with colleagues to continuously improve contract templates as well as implementation and adherence to best practices. Make key contributions to the strategic vision of the organization by leveraging your skills to impact business decisions; collaborate with other law team functions; and deploy solutions relating to all phases of contract management. In this role you will: Review and negotiate a wide variety of complex IP and technology agreements, including software licenses, SaaS agreements, technology development agreements, technology transfer agreements, e-commerce agreements, and service agreements. Provide support to management and advise business clients on issues related to contract interpretation, specifically for provisions related to cybersecurity, data breach notifications, and vulnerability management. Review, analyze and interpret contractual terms found across a variety of technologies for transactions ranging from the purchase or sale of goods for connected or intelligent devices to enterprise IT solutions. Craft innovative approaches for handling complex language in a wide range of transactions by balancing the opportunities and risks created for various functional teams who look to you for solid analysis, sound judgment and creative and practical contractual guidance all while adhering to Eaton’s limits of authority approval policies. Manage a wide range of contract negotiations of varying complexity simultaneously while engaging other key functions to coordinate and align on strategy and approach such as Information Technology, Engineering, Operations, Sales, Trade Compliance and other Specialty Practice Groups (SPGs) within the Law Team. Leverage communication skills, ability to manage expectations, and organizational capability to deliver creative solutions to both our internal and external customers on legal and/or commercial issues encountered in the review, negotiation, or performance of a contract. Lead and coordinate compliance with contract approval policies. Structure, draft and partner on contract negotiations both independently and in collaboration with IP attorneys or leaders within sales or operations where the ability to persuade is a key success factor. Identify, lead and participates in technology agreement training, including preparation and presentation of training materials to various departments and functions. Identify and implement opportunities to develop efficient, comprehensive, long-term processes which influence all aspects of the business. Develop yourself and others by proactively identifying unique business scenarios found throughout all aspects of technology transactions, thinking big and differently, formulating executive-level recommendations and implementing process improvements to drive speed and simplicity by gaining credibility, influencing and partnering across a diverse array of cross-functional teams. Qualifications Required (Basic) Qualifications: Bachelor’s degree from an accredited institution. 2+ years of IP licensing and technology commercialization experience. Experience drafting and negotiation technology agreements, particularly within the power management technology sector is a plus Knowledge of legal issues in complex business transactions. Must be able to work in the United States without corporate sponsorship now and within the future. Preferred Qualifications Juris Doctorate degree from an accredited institution 4+ years of IP licensing and technology commercialization experience. Familiarity with GDPR, CCPA, and U.S Cybersecurity laws and regulations is a plus.
