The incumbent in the combined position of Company Secretary and Compliance Officer (Anti Bribery, Anti-Corruption) would be responsible for all Company Law relating matters as well as support advance business goals of Siemens by providing compliance related business advice to Management in a complex high-risk environment. You will strengthen, further develop and implement the Siemens Compliance system as an integral part of a high-performance, global Compliance function. The position requires a high level of dedication and integrity; the function is entrusted with critical and confidential information. You are responsible for the adaptation and continued implementation of the Siemens Compliance system in the Business Unit SFS COF India; especially in the fields of Anti-Corruption, Anti-Money Laundering, Anti-Trust, Data Privacy, Human Rights Compliance and Export Control. Guide management on regulatory and compliance issues to ensure compliance with legal regulations which will include such as to develop and control systems to prevent or look after violations of legal guidelines and internal policies. Draft, modify and implement company policies, collaborate with corporate counsels and HR department to supervise enforcement of standards and regulations. Review the work of colleagues when vital, to identify compliance issues and provide advice or training; To look out for regulatory developments within or outside of the company as well as evolving standard methodologies in compliance control and prepare reports for senior management and external regulatory bodies as appropriate. Role also requires conducting trainings on specialized topics for business colleagues and corporate departments. Evaluate new business relationships with vendors, contractors and subcontractors, etc. You will be involved in Compliance role such as ensuring compliance with laws, regulations and business conduct guideline make sure that compliance issues are promptly reported to the local management and the regional compliance officer. Providing fitting measures for prevention of violations of laws or regulations that could lead to corporate sanctions. Provide regular compliance trainings to managers and others designated by the management and HQ. Perform regular business-related controls, reviews and in cases of breaches trigger, support compliance investigation initiated by the Central Compliance of Siemens AG. If determined to be violations, ensure that vital steps for remediation of violations are implemented. Be a trusted business advisor by advising and rendering support to all business units, corporate departments. Liaise and work in close coordination with the global and regional legal and Compliance teams. Assist the Board and the Senior Management in leading all aspects of the implementation of Compliance Policy, including policies and procedures, prescriptions in Compliance Manuals, internal codes of conduct etc. You advise on content and application of external and internal regulations applicable on SFS COF India and ensure implementation of the guidelines at the organizational level You will be responsible for all correspondence with the regulators like RBI, MCA, data submissions and coordinations. You are a leader in your role and closely interact with the senior management of supported business teams. You will be responsible in leading all statutory Board / Committee meetings and ensuring Corporate Governance framework is implement in true spirit. You are an example of and promote a culture of Compliance and Integrity. You are a collaborative team player, and proactively and effectively work with and support the business, legal, and the Global Compliance team — while maintaining high compliance and integrity standards. You assess Compliance Risks and work with management to develop mitigation plans. You represent the Company externally towards regulators and authorities in matters of Compliance. What you need to make real what matters. Must have 12-15 years of experience in Banking / NBFC in Compliance and Secretarial role with a consistent track record Company Secretary and University degree in Law / Legal or a comparable field Very good analytical and conceptual skills in combination with a high level of integrity Strong communication and training skills Strong social skills, with the ability to interact effectively with all levels of employees Strong organizational and problem-solving skills You need to be an inclusive leader with a great focus on change management and transformation You need to be proactive, influential and able to work autonomously while dealing with tight deadlines You are self-motivated, a "self-starter" and able to deal with rapid changes as well as capable of handling many tasks simultaneously Strong IT self-support skills required. Proficiency in MS-Office. Ability to quickly learn internal compliance and administrative tools and to manage own calendar, travel and expenses Language skills: English a must, German a plus; intercultural knowledge of Asia is preferred.
