CONTACTS:

Internally: Customer Service Team and Management. Regional Contract Specialists,Legal, Sales, Product Divisions, Product Marketing, Finance, Quality, Logistics and Engineering

Externally: Customers / representatives

DUTIES & RESPONSIBILITIES:

1. Provide supervisory support and guidance to Regional Contract Specialist to effectively manage their position duties and responsibilities.

2. Review customer contracts from a legal and business perspective per the Global Terms Guidelines as directed by management for the assigned contract types. Review support for the business terms to be provided by the Regional Contract Specialist initially.

3. Review and escalate unique contract terms to Corporate Legal and Global Contract Administration Manager if contract cannot be closed after two rounds of negotiations.

4. Where required, prepare summaries and highlight areas of risk for management, including Finance, Division Presidents, Sales Management,Quality. Also, provides recommendations for modifications to minimize potential risk to company

5.Work and communicate with:

a. Sales, Sales Management, Customer Service, Product Divisions on all contracts keeping them updated on any open issues, status, what was negotiated etc. Also, work with Customers to reach mutual agreement on Contracts.

b. Various departments including manufacturing, logistics, quality and marketing during the review process of a contract.

c. Finance as needed for approval of assigned contracts.

d. Corporate Legal to review contracts per the Global Terms Guidelines.

6.Prepare red lined documents of agreements received with all comments from affected functional areas within the committed time frame. Submit completed contract to management for review and signature.

7. Set up and participate on conference calls with Customers to negotiate contracts after one red-lined version of an agreement has been provided

8. Update the Review Queue Contract Tracking Document for assigned documents and publish monthly reports as directed by Management

9. Participate on monthly Global Contracts Meetings as directed for training, global and regional updates. Provide input on procedures and testing of systems to support global implementation with focus on regional requirements.

10. Extract data for assigned contract types and forward to Regional Contract Specialist to enter into the Global Contract Database.

11. Understand, support and contribute to current Total Quality Management (TQM), Lean Six Sigma, International Standards Organization (ISO) and Environmental, and/or Health and Safety (EH&S) Management Systems by following stated policies and procedures.

12. Perform other related duties as assigned by management.

EDUCATION:

REQUIRED:

1. A Bachelor's degree in business, computer science, management or related Profession as determined by management

WORK EXPERIENCE:

REQUIRED:

1. 2 to 3 years experience working with Contract Review and or Contract Administration Experience reviewing contracts in law firms or corporations at high workload volume

PREFERRED:

1. Paralegal Certification with 2 - 3 years’ experience in the legal industry focused on contract review and administration


SKILLS & ABILITIES:

REQUIRED:

1. Above average working Knowledge of Microsoft Word and Office, Excel, Adobe 7.0 pdf Writer.

2. Strong interpersonal skills to work effectively with teams internally and external customers in a positive manner.

3. Solid, demonstrated negotiation skills.

4. Exceptional written and voral skills for clear and concise communication.

5. Legal understanding of contract terminology and use of language.

6. Excellent organization skills and ability to multi task.

7. Willingness to learn business processes and how they relate to review and identifying risk within contracts.

8. High level problem solving and analytical skills.

9. Strong attention to detail.

10. High energy, process-driven.

11. Must adhere to ethical standards of confidentiality, as well as follow guidance for review content as sest forth in Global Terms Guidelines.

12. Escalate provisions outside of Global Guidelines to Management as directed.

13. Able to employ sustained focus on analytical and data entry tasks in contract review.

PREFERRED:

1. Knowledge of SAP and BW reporting.

2. Knowledge of how to use and maintain a SharePoint Site

3. Understanding of business processes to conduct contract reviews.
