Essential Responsibilities:

• The Governance Counsel should hold a law degree from a well-recognised tertiary institute or an advanced educational certification to manage the corporate compliance and governance of legal entities in China or other common law/civil law jurisdictions
• Responsible for managing the day to day operational needs of all GE businesses in China related to legal entity creation, management, dissolution, and simplification
• Receive requests, interact with and advise General Counsels, Finance and Tax teams to ensure timely creation, maintenance, and dissolution of legal entities
• Manage board and committee meeting logistics, attend and record minutes of all board and committee meetings; facilitate board communications
• Advise Legal Entity boards on their roles and responsibilities; facilitate the orientation of new Directors
• Maintain key corporate documents and record them in centralized document storage
• Ensure proper corporate disclosure and compliance with jurisdictional corporation laws, and enable proper reporting and compliance
• Manage subsidiary structures and governance
• Monitor corporate governance developments and assist in tailoring governance practices to meet the needs of each legal entity
• Work closely with the Business Counsels/Governance team in the region to implement different Legal Shared Services projects and gain adoption across all GE Business units.
• Maintain regional legal entity data in GOLD/ONIT/iManage etc, and other information databases on legal entities across GE

Qualifications/Requirements:

• Bachelor’s Degree (Law)
• Qualified Chinese Attorney
• Minimum 6 years of post qualification experience in commercial law/legal entity corporate governance experience as a legal counsel in China or other Asian jurisdictions
• Must be fluent in both spoken and written Mandarin and English

Desired Characteristics:

• Experience in corporate and commercial law, legal entity governance, legal billing solutions, legal form management, and other services related to providing legal functions to a large corporation.
• Demonstrated ability collaborating with cross-functional teams, including strong ability to work within a global team environment
