Eaton’s Corporate Sector is currently seeking a Manager – Corporate and Securities to join our team. This position is based at our Beachwood, OH location. Position Overview: This role will have responsibility for managing certain of the company’s legal entities and will assist the global corporate governance and securities teams with various corporate governance projects as assigned. This role will have primary responsibility for maintaining corporate records for the company’s North America subsidiaries and associate companies, liaise with third-party service providers regarding the same, prepare minutes and resolutions (both routine and in support of events such as appointment of directors and officers, intercompany transactions and reorganizations, opening and closing of bank accounts, and other routine corporate events) and assist with certain U.S. securities filings. This role is expected to support internal and third-party requests for corporate records and work closely with the corporate Secretary of the company’s North American entities. In this function you will: Ability to prioritize, organize and manage multi-task work independently. Process oriented. Working knowledge of corporate governance principles and company subsidiary structures. Working knowledge of US public company SEC filing obligations required. Experience preparing and filing Section 16 filings. Working knowledge of the ICSA One World system preferable. Working knowledge of Workiva preferable. Ability to communicate directly and effectively with high levels of management throughout the company and with third-party service providers Experience with and mastery of the Microsoft Office suite: Outlook, Word, PowerPoint, Excel, SharePoint etc. Ability to get results through self and others. Qualifications Required (Basic) Qualifications: Associates degree required or in lieu of an associates degree 10+ years of paralegal or legal secretarial experience required. At least 3 years paralegal or legal secretarial experience required. Familiarity with US securities laws and SEC filing requirements required, particularly Section 16 filings. Relocation assistance is not available for this position. Only candidates currently located within a 50 mile radius of Beachwood, OH will be considered. Active Duty Military Service member candidates are exempt from the geographical area limitation. Must be able to work in the United States without corporate sponsorship now and within the future Preferred qualifications: Bachelors degree from accredited institution preferred. Extensive related work experience preferred. Understanding of requirements and regulations imposed on New York Stock Exchange listed companies. Experience in a multinational legal department of a publicly listed company, or the company secretarial team of a law firm or private company. Strong working knowledge of principles of legal entity maintenance and governance, subsidiary structure and maintenance requirements. Excellent written and oral communication skills and experience drafting governance documents. Skills to organize and manage special projects, including under tight deadlines.
