Job Description
Job Summary This role will have responsibility for managing certain of the company’s legal entities and will assist the global corporate governance and securities teams with various corporate governance projects as assigned. This role will have primary responsibility for maintaining corporate records for the company’s North America subsidiaries and associate companies, liaise with third-party service providers regarding the same, prepare minutes and resolutions (both routine and in support of events such as appointment of directors and officers, intercompany transactions and reorganizations, opening and closing of bank accounts, and other routine corporate events) and assist with certain U.S. securities filings. This role is expected to support internal and third-party requests for corporate records and work closely with the corporate Secretary of the company’s North American entities. Qualifications Qualifications Education level required: Bachelor’s Degree or equivalent is preferred. Paralegal Certificate and/or extensive related work experience preferred. Years and area of experience required: 3-7 years of experience. Technical knowledge: Experience in a multinational legal department of a publicly listed company, or the company secretarial team of a law firm or private company. Familiarity with US securities laws and SEC filing requirements Understanding of requirements and regulations imposed on New York Stock Exchange listed companies. Soft skills: Excellent written and oral communication skills and experience drafting governance documents Skills to organize and manage special projects, including under tight deadlines.
