Eaton is currently seeking a Manager/Counsel, Government Contracts to join our team at our headquarters in Beachwood, OH. Relocation assistance is available. The Government Contracts Manager/Counsel will lead a team responsible for administering fixed and flexibly priced U.S. Government prime and subcontracts; supporting the entire government procurement cycle, from award through termination. The role will use knowledge of federal procurement laws and regulations to develop business-orientated solutions to challenging compliance risks; and collaborate with the Legal, Ethics and Compliance, Finance, and Supply Chain teams to implement enterprise-wide regulatory and compliance processes, programs, and policies. The position will also be directly responsible for administering several strategic Department of Defense Grants and Agreements that impact multiple business sectors. In this role you will: Supervise contract managers in the request for proposal (RFP) process by reviewing solicitations, contract clauses, statements of work, and interpreting the terms and conditions identifying all legal risks and business considerations. Ensure contract managers are executing purchase orders that are complaint with the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and corporate policies and procedures; and applying appropriate flow-down FAR and DFARS clauses, representations and certifications, and Eaton's terms and conditions. Provide expertise and oversight to ensure business develop and maintain complainant purchasing systems per DFARS 252.244-7001. Respond to periodic Government Contractor Purchasing System Reviews (CPSR). Capture lessons learned from CPSRs and audits to develop and implement global compliance best practices. Exercise compliance oversight through knowledgeable application of the FAR, DFARS, Defense Grants and Agreements Regulations, Truthful Cost or Pricing Data, Cost Accounting Standards, Trade Regulations, contract-specific compliance issues, and corporate policies and standard procedures. Provides training on USG Contracts and Financial Assistance Awards, including preparation and presentation of training materials to new hires. Assist the Facility Security Officer exercise compliance oversight through knowledgeable application of the National Industrial Security Program Operating Manual (NISPOM), U.S. Foreign Ownership, Control or Influence (FOCI) policies, Facility Clearance policies, and law and polices relating to access to classified information. Responsible for management of subcontracts with support in the development of an adequate statement of work by the technical team, inclusion of proper flow down terms and conditions, monitoring subcontractor performance and closeout. Maintain Small Business Program for government contracts ensuring Individual Subcontracting Plans are implemented, and goals and requirements of FAR 52.219-9 and DFARS 252.219-7003 are met. Collaborate with Trade Compliance and Technology Directors and their teams to provide oversight and ensure compliance with U.S. Export laws and regulations on USG programs as they relate to specific contractual requirements for U.S. citizens participation, and foreign national participation approvals or restrictions. Consistently display a strong desire and ability to develop and implement tools and automation to increase the speed and simplicity of processes. Responsible for process for distribution, communication, and approval of all government contracts through the use of CLM and SharePoint. Qualifications Required (Basic) Qualifications: Bachelor’s degree from an accredited institution 8 years’ experience as government contracts manager Knowledge of FAR, DFARS, DoDGARs, ITAR, EAR, CAS Must be legally authorized to work in the United States without company sponsorship. Preferred Qualifications Master’s or J.D Experience and skill with cost type contracts strongly preferred Position Criteria Collaborative orientation. The ability to succeed in a highly team-oriented environment. Self-motivated and goal-oriented individual. Excellent written and verbal communication skills in dealing with management, employees, customers, and suppliers. Senior management level communication and presentation skills. Business acumen with proven record of formulating value proposition. Able to identify strong business alignment with the government funding opportunity.
