Eaton is currently seeking a Senior Attorney, Commercial Contracts to join our team in Beachwood, Ohio or Moon Township, PA. The Senior Attorney will be responsible for leading and reviewing complex commercial agreements, both customer and supplier facing, and providing first-line legal support to Eaton’s Electrical/Industrial Sectors and Global Supply Chain organization. In this role you will: Lead the negotiation and execution of complex, small and large-scale contracts through review, analysis and interpretation of terms and conditions identifying all legal risks in close partnership with our internal clients. Ensures all terms are brought to the attention of and addressed by appropriate functions (credit, engineering, finance, operations, product management, risk management, supply chain, etc.) and approved in accordance with corporate policies and procedures. Collaborates with other functions such as Program Management, Engineering, Operations, Finance, Credit, Sales, Trade Compliance and other Specialty Practice Groups (SPGs) within the Law Team. Serves as a trusted advisor and business partner across the company by providing guidance for accomplishing the organization’s objectives around enterprise risk management, process optimization and leveraging new technologies to streamline legal services. Identifies, leads and participates in contracts training, including preparation and presentation of training materials to various departments and functions. Member of the Contracts Organization core team responsible for developing and implementing strategy and identifying and leading continuous improvement initiatives including cross-training opportunities to leverage contract professionals across Sectors. Qualifications Required (Basic) Qualifications: Juris Doctor (J.D.) required and a license to practice in one of 50 U.S. States A minimum of 6 years’ work experience in Law/Legal Must be able to work in the United States without corporate sponsorship now and within the future. No relocation benefit is being offered for this position. Only candidates within a 50-mile radius of Beachwood, OH or Moon Township, PA will be considered. Active Duty Military Service member candidates are exempt from the geographical area limitation. Preferred Qualifications Certified Professional Contracts Manager (CPCM) or Certified Federal Contracts Manager (CFCM) certification preferred. 6 years negotiating customer and supplier contracts efficiently and effectively while navigating various commercial and legal risk areas across a variety of markets/industries. Experience with contract negotiation, commercial dispute resolution and any other business-related expertise necessary to provide sound legal counsel on a variety of commercial/contractual issues. Position Criteria Detailed oriented, possesses excellent organizational skills and can work independently with a minimal level of supervision. Strong interpersonal and leadership skill set that is effective at all levels of the organization. Demonstrated success in building organizational capability. Ability to hold self and others accountable to results, and Eaton’s Professional and Ethical Standards The ability to multi-task, prioritizes commitments, manage time effectively and work independently to meet time sensitive deadlines. Experience in distilling legal analysis into executive level summaries which pragmatically summarize the risk profile and the potential consequences/impact of such risks. Must have experience with standard concepts, practices, and procedures relating to contracts; relying on experience and judgment to plan and accomplish goals. Quick comprehension of customer and company contract requirements. Ability to maintain high quality work product in a team oriented and time sensitive environment. Strong problem-solving capabilities with the ability to generate and communicate solutions to various levels of leadership. Proficiency with MS Office. Strong customer service focus. Willingness to actively engage with internal stakeholders across the company to develop and share best practices.
