Job Description

What You Will Do

  • Structure, negotiate and draft strategic commercial agreements (e.g. customer, distributor and supply contracts).
  • Act as a business counselor and strategic advisor to Ecolab’s Shanghai-based Greater China leadership team.
  • Manage disputes and litigation to achieve practical and cost-effective results.
  • Assist as needed on acquisitions, particularly in due diligence and integration processes.
  • Advise on legal risk and ethical compliance in Greater China, including compliance with the Foreign Corrupt Practices Act, anti-corruption laws and Ecolab’s Code of Conduct. Recommend options to address issues and risk and support related investigations.
  • Manage Greater China intellectual property matters in cooperation with Ecolab’s U.S.-based patent and trademark counsels.
  • Manage external legal expenses in Greater China to ensure value is provided on a cost-effective basis.
  • Control and update legal and corporate documentation, including intercompany agreements.
  • Coordinate with Ecolab’s U.S.-based divisional counsels to enable divisional objectives and implement commercially consistent practices within Greater China.

Minimum Qualifications

  • Excellent academic credentials, including qualification to practice law in the People’s Republic of China.
  • Academic credentials from a U.S. law school (e.g., LLM) strongly preferred but not required.
  • 15 years of corporate and commercial law experience working in a top-tier law firm and/or in-house with a multinational corporation in the manufacturing or industrial sector.
  • Significant experience in structuring, negotiating and documenting complex commercial transactions.
  • Ability to command the respect of, and communicate effectively with, a diverse range of business leaders and legal partners in both Greater China and North America.
  • Ability to direct and manage outside counsel to achieve cost-efficient results
