Eaton Corporation is currently seeking a Senior Commercial Counsel, Government Contracts to join our team. This position is based in Beachwood, OH. The Senior Commercial Counsel, Government Contracts will provide legal guidance and support on federal, state and international government contracts, including government contract formation, cost accounting, intellectual property, subcontracting and compliance. This is a leadership position within Eaton and is a highly visibility role, requiring significant exposure to senior management. The Senior Commercial Counsel, Government Contracts will partner with Vice-President, Chief Counsel, Global Contracts and Government Compliance to drive government contracts/compliance excellence at Eaton. In this role you will: Engage with the Vice-President, Chief Counsel, Global Contracts and Government Compliance on priority contracts and compliance issues. Serve as the lead government contracts attorney for an innovative and dynamic company. Work on a wide range of complex issues at the prime and subcontract level, provide risk assessments and assist with a variety of government contract and legal department initiatives. Support Eaton U.S. Government and international government contract issues across civil, defense and intelligence market segments. Advise on matters arising under U.S. federal procurement laws and regulations, including but not limited to the FAR, DFARS, Procurement Integrity Act, Competition in Contracting Act (CICA), DCAA cost accounting and pricing principles, International Traffic in Arms Regulations (ITAR). Provide advice and counsel to senior management of the business and, when required, to suppliers, team members, and customers as it relates to government contracts law. Assist with compliance and training matters on government contracts and specific regulatory procedures. Engage with the business clients to draft, review and negotiate contracts in compliance with government contracts law. Evaluate and advise on mergers and acquisitions as it relates to government contracts, joint ventures, partnerships, teaming agreements and notations. Manage and resolve contract disputes, bid protests and interventions; assist with or lead the management of contract litigation as needed (bid protests, equitable adjustments, cost and pricing, and breach of contract). Manage and advise senior leadership on issues related to cost accounting and pricing, audits, investigations and claims. Qualifications Basic Qualifications: Minimum of 10 years’ overall legal experience and direct work in government contracts. Juris Doctorate degree from an accredited law school Licensed Attorney in a minimum of one jurisdiction in the United States Must have active Top-Secret security clearance Must be legally eligible to work in the United States on an on-going basis without Company sponsorship This position requires the use of information or access to technology which is subject to the International Traffic in Arms Regulations (ITAR) and/or Export Administration Regulations (EAR). All applicants must be U.S. persons within the meaning of ITAR/EAR. ITAR/EAR defines a U.S. person as a U.S. Citizen, U.S. Permanent Resident (i.e. ‘Green Card Holder’), Political Asylee, or Refugee. Preferred Qualifications 5 years of experience in negotiating and reviewing government contracts, resolving complex disputes and advising executive leadership 5 years of experience advising on diverse cost and pricing matters including, but not limited to, termination for convenience, indirect rate determinations, CAS noncompliance, and unallowable costs 10 years of experience in the defense industry Experience directly managing a team of contract professionals 5 years of experience with Defense Counterintelligence and Security matters (e.g. work with U.S. DSCA of the Department of Defense/National Industrial Security Program, Facility Security Officer/FSO and FOCI related) along with other Foreign Investment matters (e.g. CFIUS) Position Criteria Strong background in U.S. federal procurement law including working knowledge of the FAR and DFARS Strong experience in all areas of U.S. federal procurement disputes (claims, bid protests and intervention, equitable adjustments, cost and pricing, breach of contract, etc.) Ability to lead, manage and provide advice with respect to complex issues and matters for U.S. Government prime contracts and related subcontracts Ability to lead, advise and manage various general matters, including bid protests, other litigation and claims management, contractor disputes, commercial disputes and compliance issues Ability to assist on mergers & acquisitions and other transactions Ability to collaborate with the Eaton Law Team, as well as independently with client representatives.
