Legal & Compliance Manager – Siemens Industrial Ltd., Dhaka Bangladesh We’re looking for the makers of tomorrow! The talented individuals ready to help Siemens transform entire industries, cities and even countries. The incumbent would be responsible for Legal and Compliance related activities in Bangladesh. The incumbent will be an individual contributor and must be a Bangladeshi national. How do you craft the future through your incredible sales experience? You will be responsible for advising and rendering general legal support to the management, all business units, sales and corporate departments like Procurement, IT, Communications, Human Resources etc. Your responsibility will include drafting, negotiating and reviewing a wide range of domestic and international commercial contracts (including NDAs, Consortium Agreements, Pre-Bid Agreements, Supply and Purchasing Agreements, Work Contracts, Framework Agreements, Service Level Agreements, Government Contracts, etc.) with large public and private customers, as well as suppliers and subcontractors; crafting standard templates of agreements, purchase orders and handle specialized topics. You will appoint, manage and strategize with external lawyers across the country for all litigations (civil and criminal), prepare the appropriate legal documents for trial or court proceedings and represent the company in legal proceedings through external lawyers. You will guide management on regulatory and compliance issues to ensure compliance with legal regulations, which will include guidance - such as how to develop and establish processes and tools to prevent and detect violations of legal guidelines and internal policies. You will also draft, modify and implement company policies, collaborate with corporate counsels and Human Resources to supervise enforcement of standards and regulations. You will also prepare reports for senior management and external regulatory bodies as appropriate. The role also requires conducting trainings on specialized topics for business colleagues and corporate departments, as well as regular compliance trainings. You will also evaluate new business relationships with vendors, contractors and subcontractors, etc. You will ensure that compliance issues pertaining to bribery or corruption (external and internal) are promptly reported to the local management and the regional compliance officer. Be a trusted business advisor to Business units and Management and work in close coordination with regional and global Compliance. You will develop measures for prevention of violations of laws or regulations that could lead to corporate sanctions. You will be involved in policy making decisions of the company and provide required inputs on the Legal and Compliance aspects. We don’t need superheroes, just super minds You must have more than 10 years of post-qualification experience (PQE) in the legal department. You need to possess working experience in a multinational company, have worked with international stakeholders and international contractual partners. Experience in handling big project contracts and public procurement contracts is a job requirement. Specific experience in handling compliance (anti-corruption and anti-bribery) topics is meaningful. Experience in corporate law and company secretarial matters is a plus, but not a must. Must have excellent communication and presentation skills both in Bengali and English with excellent problem-solving skills to deal with internal/external and international stakeholders.
