Eaton’s Corporate Sector is currently seeking a Senior Manager/Counsel, Government Contracts to join our team. This position is based in Beachwood, OH but could also be based in Menomonee Falls, WI. Job Summary The Senior Manager/Counsel, Government Contracts manages multiple U.S Government Research and Development prime and subcontracts for Eaton Research Labs (ERL); manages a team responsible for financial, procurement, and subcontract compliance; and collaborates with business leaders and functional experts to support related business processes throughout all stages of the procurement cycle. Job Responsibilities The incumbent will: Manage Eaton Research Laboratory's (ERL) prime and subcontracts. Responsible for pre-and post-award support for prime and subcontract agreements, including reviewing solicitations, contract modifications, contract clauses, and statements of work. Prepare, track, and manage contract documentation; liaise with contracting officers and other client-agency procurement staff. Review, analyze and interpret the terms and conditions identifying all legal risks and business considerations for ERL. Conducts the negotiation of government contracts directly with the government and coordinates ERL’s negotiating position by teaming with other corporate functions such as Program Management, Finance, Trade Compliance, Law/Intellectual Property and Eaton business/stakeholder. Supports management in the negotiation of legal issues contained in contracts by preparing and providing background data on the relevant legal concerns. Exercises compliance oversight through knowledgeable application of the FAR, DFARS, 2 CFR 200, DODGARs, Truthful Cost or Pricing Data, Cost Accounting Standards, Trade Regulations, contract-specific compliance issues, and corporate policies and standard procedures. Provides training on USG Contracts and Financial Assistance Awards, including preparation and presentation of training materials to new hires, ERL and Eaton divisions technical teams performing on government programs. Supports proposal initiatives by evaluating Requests for Proposals, preparing certifications, ensuring the accuracy of pricing for direct labor, material, equipment, subcontracts and indirect costs and the supporting documentation. Provides guidance to the proposal team and ensures all other terms are addressed by appropriate functions (Program Management, Finance, Trade Compliance, Law/Intellectual Property and Eaton business/stakeholder) and approval for submission is granted. Provides expertise and oversight to ensure ERL maintains a compliant contractor purchasing system per DFARS 252.244-7001. Responsible for management of subcontracts with support in the development of an adequate SOW by the technical team, inclusion of proper flow down terms and conditions, monitoring subcontractor performance and closeout. Maintains ERL’s Small Business Program for government contracts ensuring Individual Subcontracting Plans are implemented, and goals and requirements of FAR 52.219-9 and DFARS 252.219-7003 are met. Collaborate with Trade Compliance and Technology Directors and their teams to provide oversight and ensure compliance with U.S. Export laws and regulations on USG programs as they relate to specific contractual requirements for U.S. citizens participation, and foreign national participation approvals or restrictions. Ensure ERL process is followed, and documentation maintained. Responsible for leading cross-function teams to develop and implement annual Global Contracts Compliance initiatives and developing organizational solutions to audit trends. Contributes to new business pursuit and associated contract strategy. Analyzes significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and procedures. Consistently display a strong desire and ability to develop and implement tools and automation to increase the speed and simplicity of processes. Responsible for process for distribution, communication and approval of all ERL government contracts through the use of CLM and SharePoint. Qualifications Required (Basic) Qualifications: Bachelor's degree from an accredited educational institution Minimum 12 years of experience required Knowledge of FAR and DFARS required Must be legally authorized to work in the United States without company sponsorship This position requires use of information or access to hardware which is subject to the International Traffic in Arms Regulations (ITAR).
