The Corporate Development team is the focal point of all of Intel's M&A and transformational growth opportunities, driving the company's most strategic transactions across the lifecycle, from transaction sourcing to execution and post-close integration. The team serves as a strategic partner and trusted advisor to executive leadership and business unit GMs to accelerate our strategic growth imperatives. The VP of M&A Integration will report to the SVP of Corporate Development and direct a team of Integration Leaders and a functional matrixed team in managing complex Corporate Development Initiatives including Acquisitions, Divestitures, JVs, and IPO readiness
Responsibilities:
- Due Diligence: engages in the deal investigation process and works jointly with Corporate Development, legal, and the functional experts to develop a comprehensive diligence program for each transaction. Responsible for the timely collection, escalation, and reporting of diligence throughout the transaction process
- Leads complex Corporate Development Initiatives including facilitating the Due Diligence Process, and executing Post Merger Integration for Acquisitions/Separation Program management for Divestitures, JVs, and IPO readiness
- Maintains strong relationships with executive leadership team, other stakeholders within corporate development, and functional experts as the trusted advisor in all Integration matters
- Manages a direct team of Integration Leaders and a functional matrixed team, including resource/capacity planning/level loading of programs across the team
- Maintains/Refines the Corporate Development Integration, Divestiture, JV and IPO playbooks; ensuring that the team is employing leading edge, best in class processes, tools and techniques and employs continuous improvement
- Defines and drives key performance metrics (e.g. Value Drivers, budgets) and facilitates execution with business stakeholders and functional teams
- Champions change management and cultural integration
- Facilitates internal and external communications in conjunction with corporate communications team
Experience/Skills Required:
- Integration Strategy: Deep experience across many different types of transactions which will enable them to rapidly pattern spot and present ranges of strategic Integration/Separation options. Ability to comfortably influence, negotiate, and manage a wide-range of business priorities and seamlessly incorporate into coherent strategies; demonstrated ability to address and resolve conflicting priorities that put business success at risk.
- Program Management: An expert program manager who takes charge of a situation and can be counted on to deliver without oversight. Successful candidates will have demonstrated experience in managing large, geographically dispersed professional teams in complex transaction environments with time constraints.
- Process Expertise: Process expert, able to orchestrate the activity of the extended integration team. Expected to be the trusted advisor in working with the business to develop buy-side integration plans and sell-side separation plans and develop post close metrics, facilitate periodic report outs.
- People Management and Leadership: Experience in managing large-scale direct and matrix teams Team-first orientation with leadership style that encourages communication, collaboration, and coordination. Brings out the best in others and delegates effectively; sets clear expectations and provides feedback and support, as necessary. Contributes meaningfully to high-performing and positive team culture, mentoring and developing team talent. Since the work requires team management across geographies and is frequently time constrained, the ideal candidate will have strong interpersonal skills with a flexible style that can successfully influence a diverse, worldwide team.
- Analytical Aptitude and Decision Making: Ability to synthesize disparate information throughout the transaction process and reconcile differences to identify valuation issues in diligence and ensures the value drivers and diligence are consistent. This process requires skilled decision making in assessing and triaging key information.
- Business Acumen: Extensive knowledge of the Technology Industry, including major players, trends, and the macro-environment. Will use this knowledge to draft, or facilitating the drafting of, various key documents with legal, the business units, and the Corporate Development team. These may include board presentations, service agreements, supply agreements, disclosure schedules.
- Communication: Able to distill complex business topics into concise communications. Complex stakeholder alignment and coordination to ensure consistent and timely messages are delivered to employees, management, customers, and other external stakeholders.
Qualifications
- 12+ years of experience with acquisitions and divestitures in a corporate development or consulting role – leading diligence process, communications, integration planning and execution in the Technology sector
- Bachelor’s degree required; MBA preferred
Corporate Strategy Office is chartered to support the executive office in driving corporate initiatives, including near and long-term strategy, major cross-group decision making and ensuring cross-company alignment. To deliver to that mission, the team owns shaping, driving and synthesizing insights to directionally orient trends as well as long range strategic planning/visioning , cross company alignment and greenfield innovation. Communications are essential to drive alignment so there is a focus on communications, community and acumen development.
