Job Description

General Function:
Oracle is seeking an experienced and senior lawyer to join the JAPAC Legal team as Associate General Counsel & Head of Shared Legal Services Support, JAPAC.  The position is Singapore based. In addition to other responsibilities as determined by the Regional General Counsel JAPAC, the successful applicant will be primarily responsible for the immediate establishment and management of a new JAPAC Legal Services Support Group, consisting of a foundational team of 4 to 5 lawyers of varying PQE, to be recruited and located in a JAPAC location or locations (to be confirmed), with potential for further growth in personnel, in time. The successful applicant will be the recruiter/manager/mentor and trainer of the JAPAC Legal Services Support Group team members and the primary point of contact to liaise and interact as required, with the Regional General Counsel JAPAC and regional legal leads and other LOB heads, in relation to the JAPAC Legal Services Support Group’s responsibilities and other identified responsibilities.  


1.    Key Objectives
 
•    The immediate objective and task for the successful applicant will be the establishment of the new JAPAC Legal Services Support Group within a short timeframe (3 months).
•    This will require the successful applicant to amongst other things: consider and determine with the Regional General Counsel JAPAC, the Legal Services Support Group’s responsibilities; clearly draft and articulate the Legal Services Support Group’s responsibilities, draft a JAPAC Legal Services Support Group’s mission statement; recruit 4 to 5 lawyers of varying PQE; onboard, train and mentor the 4 to 5 lawyers; draft templates and material for the JAPAC Legal Services Support Group and ensure the correct perception and understanding of the JAPAC Legal Services Support Group’s capabilities is established from the outset.
•    The mid to long term objective and task for the successful applicant will be to continuously, consistently and objectively demonstrate the JAPAC Legal Services Support Group's value to internal stakeholders and to train, mentor and retain personnel. 


2.    Responsibilities

2.1. Management Functions

•    Day to day ‘hands on’ management of the JAPAC Legal Services Support Group’s  operations
•    Initially and on an ongoing basis, train and mentor the JAPAC Legal Services Support Group lawyers
•    Initially and on an ongoing basis, objectively demonstrate the JAPAC Legal Services Support Group's value to the internal Oracle stakeholders;
•    Ensure the correct perception and understanding of the JAPAC Legal Services Support Group’s role and responsibilities is made clear from outset;
•    Attract and retain JAPAC Legal Services Support Group personnel. 
•    Additional to managing the JAPAC Legal Services Support Group, independently contribute by liaising and interacting with and supporting: the Regional General Counsel JAPAC as required and directed; senior management, all LOBs and the global and regional JAPAC legal teams.
•    Independently handle major ad hoc legal tasks, business and specific global and regional projects as determined by the Regional General Counsel JAPAC. 
•    Assist in developing and maintaining key contacts with JAPAC Senior Management and Sales leaders, Business Practices and Deal Management and other internal organizations and developing and maintaining key contacts within the regional and global Oracle legal team and other subject matter experts within Oracle
•    Assist in monitoring, overseeing and implementing legal policies and business practices
•    Maintain close and collaborative working relations across all LOBs as required and at all levels

2.2. Legal Functions

•    Overall responsibility for the carrying out of the JAPAC Legal Services Support Group’s functions including but not limited to (1) engagement with regional Deal Management teams on tender responses/queries and Confidentiality Agreements (2) engagement with Collections and liaising with regional legal teams on Collection matters pursuant to the pipeline policy; (3) assisting regional legal teams on Knowledge Management contributions/options language/policies; (4) supporting regional legal teams with privacy and security matters, litigation matters and ad hoc legal research projects; (5) supporting Procurement and Procurement Legal; (6) responsibility for the HMS initiative; (7) on-boarding and induction and regular training on all areas of responsibility; (8) co-ordinating 'virtual' secondment to support regional teams on big strategic deals; (9) contract drafting support; (10) GBU engagement and issues; and (11) co-ordinating any JAPAC related activities coming from the US Legal team.
•    Independently and separate to the JAPAC Legal Services Support Group, support regional legal teams by drafting, reviewing and negotiating major or complex commercial agreements.
•    Support regional legal teams by localizing and developing model standard agreements / clauses. 
•    Advise various LOBs on the structure of contractual relationships, including appropriate documents to use.
•    Respond to ad hoc legal queries and, provide timely and appropriate responses
•    Work closely and collaboratively with other legal colleagues from the worldwide and global Oracle legal team.
•    Identify, analyse and evaluate legal risks
•    Advise on compliance with Oracle business practices, policies, procedures and law
•    Assist in the management of disputes and litigation
•    Participate in Oracle Legal global and regional initiatives as required
•    Provide input into new policies and business practices

4.    Minimum job requirements

•    University qualified and admitted to practice as a lawyer in a major common law jurisdiction.
•    At least 20 years relevant post admission experience in both the private and government sector.
•    Post graduate law qualification desirable.
•    Management experience  
•    Multi-jurisdictional substantive and demonstrated experience with advising and/or commercial negotiations related to information technology contracts and transactions.
•    Multi-jurisdictional, substantive and demonstrated litigation experience
•    Multi-jurisdictional, substantive and demonstrated privacy and security experience

Manages legal professionals to provide legal consultation across all lines of business enabling profitable growth while mitigating legal risks and assure adherence to governance policies, ethics, and country specific laws and regulations

Manages the legal function across geographies and/or within the individual's specialty area(s) to include staff, budgets, financials, strategic plans, and core processes. Manages staff in the development and implementation of department processes, procedures and programs. Ensures adherence to Oracle's processes, procedures and regulatory compliance concerning the department. Sets direction through development and implementation of both short- and long-term goals. Coordinates external counsel on legal matters pertaining to the individual's area(s) of responsibility and/or across larger geographies. Demonstrates in-depth knowledge across a broad range of sub-disciplines within the individual's specialty area(s), covering one or more of the following: general corporate law, antitrust/competition law, securities compliance and regulatory, employment law, immigration law, cloud transactions, data privacy, risk management asset-backed financing, contract management, intellectual property, trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry.

Directs and ensures the implementation of operational policies through subordinate managers Interacts internally and externally with executive management involving negotiation of difficult matters to influence policy. Functional expertise and broad company knowledge. 12+ years related experience. Completed law degree and member of bar association in relevant jurisdictions. Ability to travel as needed .
