The Senior Legal Counsel will provide a broad range of in-house legal services across countries in the Middle East region with focus on transactional work supporting the various Oracle lines of business in closing transactions for IT products and services. The position is located in Dubai. The Middle East Legal function is part of the EMEA Legal group.
The Senior Legal Counsel will be responsible for the following main tasks and activities:
· Advising the various lines of business on legal and contractual matters, including the structuring of contracts and appropriate documents to be used
· Assisting the lines of business in negotiations with customers and partners (via email, phone and face-to-face meetings when required)
· Working closely with sales management to ensure appropriate prioritization of legal resource
· Working closely with Oracle’s Deal Management group, including in connection with internal approvals and consequent drafting, to ensure a smooth and efficient support to the lines of business and compliance with Oracle policies and procedures
· Reviewing, vetting and drafting of non-standard contracts
· Localizing Oracle model standard agreements and clauses
· Responding to various ad-hoc queries
· Identifying, analysing and assessing legal/contractual risk in connection with business transactions, including in connection with internal approvals to assist approvers in making decisions on an informed basis
· Assist in ensuring business transactions are in compliance with Oracle business practices, policies and procedures as well as local laws
· Managing disputes and litigation matters (in collaboration with the EMEA Litigation group)
· Assisting the C&E (Compliance & Ethics) group in connection with compliance cases
· Working with other legal groups in EMEA in connection with cross-border deals and EMEA-wide initiatives and projects
· Engaging and managing external lawyers retained by Oracle
· Providing legal training and updates to the lines of business and other functions
· Performing various other tasks as are relevant for an in-house lawyer

Minimum job requirements:
· Fluency in English and Arabic, oral and written (French language proficiency will be a plus)
· Excellent drafting skills in English and Arabic (French will be a plus)
· Law degree; 5+ years of relevant work experience (In-house legal function experience will be a plus)
· IT contracts experience (Cloud will be a plus)
· GCC litigation experience will be a plus
· Driver‘s license
· Basic computer skills (including experience with Word, Excel and PowerPoint)
· Willingness to travel if required (not often
Provide legal support across all lines of business enabling profitable growth while mitigating legal risks and assure adherence to governance policies, ethics, and country specific laws and regulationsResponsible for providing legal advice to the organization. Close liaison to business in providing a variety of corporate and commercial legal services. May perform litigation on Oracle's behalf or coordinates litigation and other legal, administrative or investigative actions handled by outside counsel. May draft, review, and negotiate major and/or non-standard technology contracts with public and private sector customers, including licensing agreements, professional services agreements, and cloud services agreements. May advise on legal issues involving government and regulatory compliance. Responds to ad hoc queries to include identification, analysis, and evaluation of risks in order to provide appropriate legal solutions. Works closely with other lawyers throughout Oracle and coordinates legal matters handled by outside lawyers. Demonstrates deep general commercial or functional knowledge across a wide range of sub disciplines within the individual's specialty area(s), (e.g., general corporate law, antitrust/competition law, securities compliance and regulatory, employment law, immigration law, cloud transactions, data privacy, risk management asset-backed financing, contract management, intellectual property, trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry)
Leading contributor individually and as a team member, providing direction and mentoring to others. Work is non-routine and very complex, involving the application of advanced technical/business skills in area of specialization. 8+ years related experience. Bachelors degree in computer science, computer engineering, or similar background is a plus for roles within certain sub disciplines. Completed law degree and member of bar association in relevant jurisdictions. Excellent legal skills and business judgment in areas of responsibility. Proficient writing skills.
