Department/Division: JAPAC Legal
Position reports to: Robert Wong
General Function: To provide a full range of in-house legal services with emphasis on support to Sales business units and LOBs as well as compliance with Oracle policies and procedures and applicable law.

- Responsibilities
2.1. Management Functions
- Responsible for legal support to Oracle business LOBs and local supporting teams
- Independent handling of major tasks including drafting, review, negotiation of commercial contracts ranging from sales and distribution contracts of software license, hardware and cloud services to consulting and training service contracts
- Assist in monitoring and implementing legal policies and business practices
- Assist in advising Business Assessment & Audit on ethics & compliance related work including compliance investigations and providing advice on all aspects of local law compliance under guidance of Oracle Legal & Compliance
- Maintain working relations across LOBs, R&D centers, and liaise with Global Legal colleagues on global projects
- Compliance training to internal employees and external business partners
2.2. Legal Functions
- Draft, vet and negotiate various commercial and technology agreements
- Advise Business on structure of contractual relationships, including appropriate documents to use
- Respond to ad hoc legal related queries, providing appropriate solutions
- Work closely with other legal counsel throughout Oracle locally as well as internationally
- Identify, analyze and evaluate risks and work with internal stakeholders including Tax and Revenue Recognition Teams
- Advise on compliance with Oracle business practices, policies, procedures and law
- Assist in the management of disputes and litigation
- Participate in Oracle Legal JAPAC initiatives as required
- Provide input into new policies and practices

- Minimum job requirements
- PRC bar qualification.
- Law degree and professional qualification of 7-8years’ relevant post admission experience.
- Experience of commercial legal advice and negotiations related to technology contracting including software, hardware and cloud product and service distribution agreements.
- Experience of litigation/arbitration handling.
- Experience of advising and negotiating cloud computing contracts is highly preferred.

Description:
Responsible for all legal services associated with Oracle local business LOBs, including participation on important project negotiation, implementation of Oracle legal policies and business practice, internal training, deal advice and participation in transactions for contract drafting and closure. The role reports to Chief Legal Counsel of PRC, and the responsibilities include strategic deal negotiations and legal support in other legal areas.
Objectives:
- Support the day to day operations of Oracle China.
- Participate in non-standard contract negotiations to support local business LOBs and internal supporting teams.
- Assist on other legal advice to Legal and Compliance as assigned and supervised by Oracle Legal & Compliance Management.

Responsible for providing legal advice to the organization. Close liaison to business in providing a variety of corporate and commercial legal services. May perform litigation on Oracle's behalf or coordinates litigation and other legal, administrative or investigative actions handled by outside counsel. May draft, review, and negotiate major and/or non-standard technology contracts with public and private sector customers, including licensing agreements, professional services agreements, and cloud services agreements. May advise on legal issues involving government and regulatory compliance. Responds to ad hoc queries to include identification, analysis, and evaluation of risks in order to provide appropriate legal solutions. Works closely with other lawyers throughout Oracle and coordinates legal matters handled by outside lawyers. Demonstrates intermediate level general commercial or functional knowledge across a sub discipline within the individual's specialty area(s), (e.g., general corporate law, antitrust/competition law, securities compliance and regulatory, employment law, immigration law, cloud transactions, data privacy, risk management asset-backed financing, contract management, intellectual property, trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry)
Duties and tasks are standard with some variation. Completes own role largely independently within defined policies and procedures. 2+ years related experience from a leading law firm or appropriate in-house experience. Bachelors degree in computer science, computer engineering, or similar background is a plus for roles within certain sub disciplines. Completed law degree and member of bar association in relevant jurisdictions. Solid legal skills and business judgment in areas of responsibility. Self-starter with proven ability to manage a fast-paced workload. Ability to work as part of a team.
